NAME, REGISTERED OFFICE AND PURPOSES.

Article 1

Name and Registered Office

Pursuant to articles 60 et seq. of the Swiss Civil Code, a non-profit association named Novacare Technology (hereinafter the "Association") is hereby established.

The Association's registered office is located in the Canton of Vaud, Switzerland. Its duration is unlimited.

Article 2

Purposes and Mission

The Association's purpose is to build and promote a new model of preventive and integrative health, combining scientific rigor, artificial intelligence and human support.

The Association's mission is to establish "resistance islands" in the face of current health challenges, by pursuing the following objectives:

Development of the "Health Operating System (OS)"

Design and maintain a digital companion (AI Co-pilot) capable of adapting the care pathway in real time according to the patient's condition.

Management of "Oases"

Administer physical locations (Health Houses) dedicated to human reconnection, manual therapies and stress management.

Promotion of Health Democracy

Enable members to become "Patient-Experts" and co-direct research orientations (choice of pathologies studied, AI ethics).

Scientific Research

Collect and analyze health data (in strict compliance with HDS security standards) to advance medical knowledge on proactive prevention.

Article 3

Resources and Financial Autonomy

The Association's resources consist of:

  • Entrance fees (admission fees to the members' circle)
  • Annual or monthly membership fees
  • Income from services offered (prevention programs, access to Oases)
  • Proceeds from technological and medical partnerships
  • Donations, bequests and any subsidies

The Association guarantees its independence by diversifying its resources so as not to depend on external actors imposing their agendas.

Article 4

Composition and "Circle of Pioneers"

The Association is composed of members selected for their commitment to their own health and the construction of a common scientific good. It includes:

Founding Members

At the initiative of the constitution.

Contributing Members (Adherents)

Natural persons who have successfully passed the selection process and actively participate in the program.

Partner Members

Healthcare professionals (doctors, therapists) and technological experts contributing to the ecosystem.

Article 5

Selective Admission Process

Access to the Association and its technological tools is not free; it must be earned through commitment. Acquisition of member status follows a strict three-step process:

Application

Submission of a file assessing health profile and motivation (excluding financial criteria).

Interview

Validation of value alignment with the Care Management.

Validation and Entrance Fee

Payment of the entrance fee and issuance of the "Digital Member Certificate" (Membership Seal).

This digital certificate guarantees universal access to Health Houses (Switzerland, France and international) and secure portability of the member's medical history.

Article 6

Loss of Member Status

Member status is lost by resignation, death, or exclusion pronounced by the Committee in the event of non-compliance with values, lack of rigor in following protocols (harming the quality of scientific data) or non-payment of contributions.

Article 7

Organs of the Association

The organs of the Association are:

  • The General Assembly (GA)
  • The Management Committee
  • The Orientations Council (Health Democracy Organ)
  • The Ethics and Scientific Committee

Article 8

The General Assembly

The General Assembly is the supreme body. It approves the accounts and elects the Management Committee.

The Management Committee

The executive body, composed in particular of founders and experts (e.g.: Care Management, Lead Data Scientist). It ensures day-to-day management, data security ("Safe" architecture) and development of the Health OS.

Article 10

The Orientations Council (Health Democracy)

In accordance with the principle of Health Democracy, the Association establishes an Orientations Council open to all Contributing Members who are up to date with their entrance fee. This Council enables members to exercise their quarterly decision-making power on:

The Scientific Agenda

Choice of future research cohorts and priority pathologies (e.g.: endometriosis, burn-out, etc.).

AI Ethics

Definition of moral rules and level of autonomy of the digital Co-pilot.

Network Expansion

Consultative vote on locations for future Health Houses (Oases).

Each member has one vote, materialized by his/her Digital Certificate.

Article 11

The Ethics and Scientific Committee

Composed of experts in medicine, data science and ethics, this committee ensures:

  • Scientific rigor of predictive algorithms
  • Absolute confidentiality and sovereignty of members' data
  • Balance between technological innovation and human approach

MISCELLANEOUS PROVISIONS.

Article 12

Data Protection and Confidentiality

The Association undertakes to host members' data on certified servers (HDS type) and process it with the highest level of security. The member remains the sole owner of his/her data and may request its complete deletion at any time.

Article 13

Dissolution

Dissolution of the Association can only be decided by a General Assembly bringing together the qualified majority of members. The net assets will be allocated to an organization pursuing similar purposes of public or scientific interest.
